SECUREDX TERMS OF SALE

These Terms of Sale (“Terms of Sale”) apply to purchases of Products and Services from SecureDX Holdings, LLC (“SecureDX”) through securedx.ai and related ordering channels (the “Store”).

By placing an order, you agree to these Terms of Sale, the SecureDX Terms and Conditions, the Privacy Policy, and the Shipping Policy (together, the “Agreement”). If there is a conflict, these Terms of Sale control for purchasing, payment, shipping, and returns.

Definitions. For purposes of these Terms/Policies, the following definitions apply:

  • “IFU” means the manufacturer’s “Instructions for Use,” including handling, storage, collection procedures, and limitations.
  • “Products” means test kits, collection materials, consumables, and any physical items offered for sale through SecureDX.
  • “Kits” means Products intended for specimen collection and/or testing, including related collection materials and packaging.
  • “Services” means services offered by SecureDX, including access to the Platform and related support services, and (where applicable) facilitation of testing workflows through Lab Partners.
  • “Platform” means SecureDX’s website, portals, applications, reporting tools, and related digital services (including any software or reporting modules).
  • “Lab Partners” means independent third-party laboratories that perform testing and/or related services. Lab Partners are not employees, agents, or representatives of SecureDX unless expressly stated in a written agreement.
  • “Suppliers” means third-party manufacturers and suppliers of Products, including Panacea and any other approved vendors.

1. Eligibility; Professional Use Only

Products and Services are for professional and commercial animal-health use only and are not for human use. You represent that you have appropriate training and authority to purchase and use the Products and Services.

2. Orders; Acceptance

Your order is an offer to purchase. SecureDX may accept or reject any order in its discretion. An order is accepted when SecureDX confirms acceptance, ships Products, or begins providing Services.

SecureDX may cancel an accepted order if required by law, compliance restrictions, suspected fraud, inventory issues, or shipping limitations. If canceled after payment, you will receive a refund for unfulfilled items.

3. Pricing; Taxes; Payment

Prices are shown at checkout or in an accepted quote. You are responsible for applicable sales, use, VAT/GST, excise, duties, and customs fees unless expressly stated otherwise. Where required, SecureDX (or its payment processor) will calculate and collect sales tax based on the ship-to destination and other applicable jurisdictional rules at the time the order is placed. Any taxes not collected at checkout remain your responsibility.

4. Shipping; Title; Risk of Loss

Shipping is governed by the Shipping Policy. Delivery estimates are not guarantees.

Unless otherwise agreed in writing, title and risk of loss pass to you upon delivery to the carrier (FOB Origin).

Temperature-sensitive Products may be shipped with cold packs or other controlled methods and may ship only on certain days to reduce weekend delays.

5. Cancellations and Changes

You may request cancellation or changes promptly after ordering by contacting SecureDX. We cannot guarantee changes after fulfillment begins. Once Products are shipped or Services begin, cancellation may not be possible.

6. Returns; Refunds

Due to the nature of diagnostic Products, cold-chain handling, and chain-of-custody requirements, many Products are non-returnable. All returns require written Return Authorization from SecureDX (“RA”).

6.1 Non-Returnable Items

  • Opened or used Kits, reagents, collection media, swabs, vials, or consumables;
  • Temperature-sensitive Products once shipped;
  • Items marked final sale;
  • Services once specimen accessioning, processing, or reporting has begun;
  • Products stored or handled outside required conditions or past expiration;
  • Returns without a valid

6.2 Damaged, Incorrect, or Missing Items

Notify SecureDX within forty-eight (48) hours of delivery (or first attempted delivery) of damaged, missing, or incorrect items and provide photos of external packaging, internal packaging, labels, packing slip, and affected items. After validation, SecureDX may replace items, issue a credit, or refund the purchase price of affected items (excluding shipping) if replacement is not feasible.

6.3 Refund Method and Timing

Approved refunds are issued to the original payment method or as invoice credit. Processing time is typically five (5) to ten (10) business days after approval.

7. Services; Specimens; Rejected Specimens

If your purchase includes Services (including lab processing or reporting), Services may be performed by Lab Partners. Specimen requirements and rejection criteria may apply.

If a specimen is rejected due to improper collection, labeling, packaging, shipping, or temperature excursion, you remain responsible for kit costs, shipping, and any lab intake/accession fees already incurred.

8. Compliance; Reportable Results

You will comply with all applicable laws and regulations related to collection, labeling, transport, export/import controls, biosecurity, and reporting. Certain results may be reportable to authorities; you authorize SecureDX and Lab Partners to disclose results and required metadata as required by law.

9. Limited Warranty; Disclaimers

To the extent permitted by law, SecureDX warrants only that Products will materially conform to published specifications (if any) when stored and used as instructed and before expiration. Supplier components may be subject to pass-through supplier warranties.

EXCEPT AS EXPRESSLY STATED IN WRITING, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND SECUREDX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREDX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, BUSINESS INTERRUPTION, OR LOSS OF DATA.

SECUREDX’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO SECUREDX FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
