These Terms and Conditions (“Terms”) govern your access to and use of the SecureDX website, platform, portals, applications, and related services (collectively, the “Platform”), operated by SecureDX Holdings, LLC and its affiliates (collectively, “SecureDX,” “we,” “us,” or “our”).

By creating an account, placing an order, requesting testing or reporting services, clicking an acceptance box, or otherwise using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an entity, you represent and warrant that you have authority to bind that entity.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM OR PURCHASE PRODUCTS OR SERVICES FROM SECUREDX.

1. Definitions

2. Professional and Commercial Animal Use Only; Not for Human Use

The Platform, Kits, and Services are intended solely for professional and commercial animal-health use (e.g., producers, veterinarians, shelters, integrators, processors, and laboratories). The Platform, Kits, and Services are not for human use and are not intended for diagnosis, monitoring, or treatment of humans.

SecureDX does not provide veterinary medical advice, diagnosis, monitoring, or treatment. Results and reports are informational and must be interpreted by qualified professionals, including a licensed veterinarian where appropriate.

Resale / Redistribution. Products and Services may not be resold, redistributed, marketed, or offered to third parties without SecureDX’s prior written approval, including where such activity would conflict with SecureDX’s distribution arrangements, compliance requirements, or supplier restrictions. Any unauthorized resale or redistribution is grounds for immediate suspension or termination of access to the Platform and/or cancellation of orders.

3. Role of Lab Partners and Suppliers

SecureDX coordinates workflows and provides ordering, logistics, and digital reporting. Laboratory testing is performed by Lab Partners. SecureDX does not itself perform laboratory procedures unless expressly stated in a written agreement.

Certain Kits and components are manufactured and/or supplied by Suppliers. Applicable supplier documentation (including IFUs) may apply and must be followed.

4. Accounts and Security

You may be required to create an account to access features or purchase Products/Services. You must provide accurate, current, and complete information and keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us promptly of suspected unauthorized access.

We may suspend or terminate accounts for security risks, suspected misuse, nonpayment, violation of these Terms, or legal/compliance concerns.

6. Orders; Pricing; Payment

Orders may be placed online, via written quote, or via order form. All orders are subject to acceptance by SecureDX.

Account Verification / Ordering Contacts. For orders placed on behalf of an organization, the ordering email address and other contact information must be associated with the purchasing organization and the SecureDX account (e.g., a business-domain email). SecureDX may reject, cancel, or place holds on orders submitted using free-mail or personal email addresses (e.g., Gmail, Yahoo) if we cannot reasonably verify purchasing authority. Exceptions may be approved by SecureDX in writing.

Pricing, discounts, and service levels are as set forth in posted pricing, checkout, order forms, or separate written agreements (which control in case of conflict).

Unless otherwise agreed in writing, payment is due at checkout or per invoice terms. Late payments may accrue interest at the maximum rate permitted by law.

7. Shipping; Title; Risk of Loss

Shipping terms, lead times, and handling vary by Kit and destination. Shipping is further governed by the SecureDX Shipping Policy, which is incorporated by reference.

Unless otherwise agreed in writing, title and risk of loss pass to you upon delivery to the carrier. You are responsible for providing accurate shipping information and ensuring receipt.

Some Products may require cold-pack or other controlled handling. You are responsible for proper receiving and storage in accordance with the applicable IFU.

8. Specimens; Chain of Custody; Rejected Specimens

You must follow SecureDX instructions for sample collection, labeling, chain-of-custody, packaging, and shipping (including cold chain, meaning continuous temperature-controlled handling within the required temperature range, where required). Lab Partners may reject specimens for reasons including improper labeling, leakage, temperature excursions, insufficient volume, contamination, or missing documentation.

Unless otherwise agreed in writing, you remain responsible for costs incurred for rejected specimens (including kit costs, shipping, and any lab intake/accession fees).

9. Turnaround Times; Reportable Results

Turnaround times are estimates only and may vary due to factors beyond our control.

Certain test results may trigger mandatory reporting to regulatory authorities. You authorize SecureDX and Lab Partners to disclose results and required metadata to authorities as required by law.

10. Data; Privacy

You retain ownership of Customer Data. SecureDX may use Customer Data to provide Services, operate and secure the Platform, comply with law, and improve products and services, including using de-identified and aggregated forms.

Our collection and use of personal information is described in the SecureDX Privacy Policy, which is incorporated by reference.

11. Intellectual Property

The Platform and its content (including text, graphics, logos, and software) are owned by SecureDX or its licensors and protected by intellectual property laws. SecureDX grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your permitted professional use during the term of these Terms.

You may not copy, modify, distribute, reverse engineer, or otherwise exploit the Platform or content except as expressly permitted in writing by SecureDX.

12. Disclaimers

EXCEPT AS EXPRESSLY STATED IN WRITING, THE PLATFORM, KITS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Test results are subject to biological, technical, and sample-related limitations and must be interpreted by qualified professionals.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREDX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION).

SECUREDX’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE PLATFORM, KITS, OR SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO SECUREDX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS (US $100). FOR CLAIMS ARISING FROM OR RELATING TO A SPECIFIC ORDER, SHIPMENT, OR RETURN, THE LIMITATIONS AND REMEDIES SET FORTH IN THE SECUREDX TERMS OF SALE WILL APPLY.

14. Indemnification

You will defend, indemnify, and hold harmless SecureDX, its affiliates, Lab Partners, and Suppliers from claims arising out of your misuse of the Platform, Kits, or Services; violation of these Terms; improper sample handling; or unlawful conduct.

15. Termination

These Terms remain effective while you use the Platform or Services. SecureDX may suspend or terminate access immediately for breach, nonpayment, or risk. Provisions that by their nature should survive termination (including IP, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

16. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Except for claims that may be brought in small claims court, and except for requests for injunctive or equitable relief relating to intellectual property or confidentiality, any dispute arising out of or relating to these Terms, the Platform, Kits, or Services will be resolved by binding, individual arbitration administered by AAA under its applicable rules. The arbitration will take place in San Antonio, Texas.

CLASS ACTION WAIVER: You and SecureDX agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Arbitration Opt-Out: You may opt out of arbitration by sending a written notice to info@securedx.ai within thirty (30) days of first accepting these Terms. The notice must include your name, the entity you represent (if applicable), email address, and a clear statement that you wish to opt out of arbitration.

17. Miscellaneous

These Terms, together with the Privacy Policy, Shipping Policy, and Terms of Sale, constitute the entire agreement between you and SecureDX regarding the Platform and supersede prior understandings. If any provision is found unenforceable, the remaining provisions remain in effect.
